This End User License Agreement (“EULA”) is a legal agreement between you (“you” or “User”) and Jaxen Commerce, LLC, doing business as Jax Software Systems (“Company,” “we,” or “us”), governing your use of the TallyDoc application (the “Application”), including any related desktop, web, or mobile client. This EULA applies in addition to, and does not replace, our Terms of Use, which governs your use of TallyDoc.com generally. By installing, accessing, or using the Application, you agree to be bound by this EULA. If you do not agree, do not install, access, or use the Application.
License GrantSubject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application for your own internal business or personal invoicing and estimating purposes, on devices that you own or control.
RestrictionsYou must not, and must not permit anyone else to:
Use of the Application requires a TallyDoc account and, for full functionality, an active subscription. Billing, renewal, cancellation, and refund terms are governed by our Terms of Use.
Connected Payment AccountsThe Application lets you optionally connect your own payment provider account — such as Stripe, PayPal, Square, or QuickBooks Online — so your customers can pay the invoices you send. If you connect QuickBooks Online, you authorize the Application to create customers, service items, and invoices in your QuickBooks company and to read invoice status to detect payment, via Intuit’s Accounting API. Your use of any connected provider remains subject to that provider’s own terms of service. You may revoke a connection at any time; see our Privacy Policy for details on what information the Application retains in connection with these integrations, and our Terms of Use for how payments through connected providers are handled.
Intellectual PropertyThe Application, and all content, features, and functionality of the Application, are owned by the Company, its licensors, or other providers of such material, and are protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any rights to the Company’s trademarks or branding.
UpdatesThe Company may from time to time provide updates, patches, or new versions of the Application. This EULA applies to all such updates unless a separate license is provided with the update.
Term and TerminationThis EULA is effective until terminated. Your rights under this EULA terminate automatically, without notice, if you fail to comply with any term of this EULA, or if your TallyDoc account is terminated or discontinued. Upon termination, you must stop using the Application and, where applicable, uninstall it.
Disclaimer of WarrantiesTO THE FULLEST EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APPLICATION. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Governing LawThis EULA is governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles, consistent with the Governing Law and Jurisdiction provisions of our Terms of Use.
Changes to This EULAWe may revise this EULA from time to time. Changes are effective immediately when posted. Your continued use of the Application after a change is posted means you accept the updated EULA.
